Terms of Service

Access to and use of the valuation services provided by Exitwise LLC. ("Exitwise") are subject to the following Terms and Conditions. To utilize the services provided by Exitwise, you must agree to these Terms. Exitwise reserves the right to modify these Terms and Conditions at any time, with or without notice. These Terms constitute a legally binding agreement between you and Exitwise, governed by the applicable jurisdiction.
PLEASE REVIEW THIS TOS CAREFULLY. BY REGISTERING FOR AN ACCOUNT OR OTHERWISE ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THIS TOS, INCLUDING ANY UPDATES OR REVISIONS POSTED HERE OR OTHERWISE COMMUNICATED TO YOU. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS TOS, YOU MAY NOT ACCESS OR USE THE SERVICES.
THIS TOS REQUIRES FINAL AND BINDING ARBITRATION TO RESOLVE ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING IN ANY WAY TO THIS TOS, OR YOUR ACCESS TO OR USE OF THE SERVICES, INCLUDING THE VALIDITY, APPLICABILITY OR INTERPRETATION OF THIS TOS, AND YOU AGREE THAT ANY SUCH CLAIM WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION, ARBITRATION OR OTHER SIMILAR PROCESS.
1. Introduction
1.1 These Terms and Conditions govern your access to and use of Exitwise's services, along with our Privacy Policy, forming the entire agreement between you and Exitwise.
1.2 The Exitwise website and platform are collectively referred to as "Exitwise.com".
1.3 By using the valuation tools on Exitwise.com or through a third-party site via the Exitwise Widget, you agree to be bound by these Terms. If you do not accept these Terms, you are not authorized to use Exitwise's services.
1.4 We may amend these Terms periodically without direct notice to you. Any amendments will be noted with the revision date at the bottom of the Terms.
2. Definitions
Agreement: The combined Terms and Privacy Policy, governing your use of Exitwise's services.
Visitor: Any person who accesses Exitwise.com without registering.
Registered User: A visitor who creates an account on the Exitwise platform, eligible to purchase our services.
Exitwise Website: The homepage and all associated pages accessible through Exitwise.com.
Exitwise Platform: The framework providing a suite of services to Registered Users.
Platform Services: The services provided to Registered Users, which may include valuation analysis, updates, and support.
Valuation Tools: Tools used to analyze user-provided data, consisting of Input Sections, the Exitwise Algorithm, Valuation Results, and optionally, a Downloadable Valuation Report.
Personal Data: Information required by users to become Registered Users through our online forms.
3. Use of Services and Restrictions
3.1 Exitwise grants you a non-exclusive, non-transferable right to access our services.
3.2 Only Registered Users may access or purchase Platform Services.
3.3 The services are for your personal use only; you may not commercially exploit or distribute any part of Exitwise's services or website.
3.4 Copying, modifying, or creating derivative works of the services or website is prohibited.
3.5 Exitwise will not be liable if for any reason all or any part of the services or website is unavailable at any time or for any period.
3.6 We reserve the right to withdraw or amend any service or website and any material we provide, in our sole discretion without notice. Continued use after such changes constitutes acceptance of the new terms.
4. Data Ownership and Usage
4.1 Ownership and Access: Advisors and clients own the data they provide. Exitwise retains the right to access, analyze, and anonymize this data for service improvement and operational purposes but will not remarket or redistribute it without explicit consent.
4.2 Security Standards: Exitwise commits to maintaining robust security standards for data storage, ensuring compliance with applicable laws and regulations to protect user data from unauthorized access, disclosure, or destruction.
5. Limitations of Liability
13.1 The Exitwise Service is not intended to be used as the sole basis for any decision-making and is based upon data which is provided by third parties, the accuracy of which it would not be possible for Exitwise to guarantee. Whilst Exitwise aims to maintain a quality, fully operative service at all times, the Service and third-party services are provided on an “as is” basis without warranties of any kind, whether express or implied.
13.2 Exitwise gives you no warranty or assurance about the contents of the Service. Whilst Exitwise does endeavour to maintain the accuracy and the quality of the Service, information contained may be incorrect or out of date. Therefore any use of the Service is at your own risk.
13.3 Exitwise disclaims all liabilities in contract, negligence, for breach of statutory duty, or under any indemnity or otherwise in connection with the Service and third-party service and shall not be liable for any indirect, or consequential loss. Exitwise shall not be liable for the following types of financial loss: loss of profits, loss of earnings, loss of business or goodwill in addition to the following types of anticipated or incidental losses: loss of anticipated savings, increase in bad debt and failure to reduce bad debt.
13.4 Where any matter gives rise to a valid claim against Exitwise, its liability shall be limited to a sum equal to the sum paid for the Services supplied under this Agreement in the year in which the claim arises.
13.5 Each party to this Agreement warrants that it has obtained and will continue to hold all necessary licenses, consents, permits and agreements required for it to comply with its obligations under this Agreement and for the grant of rights to the other party under this Agreement.
13.6 Advisors using Exitwise technology under a white-label arrangement must understand and agree to take full liability for the representation of the services to their clients. Advisors are responsible for ensuring that their use of Exitwise's technology complies with all relevant laws and reflects accurately on the features and limitations of the services.
6. Valuation Reports
6.1 Valuation Reports are available for Visitors to purchase on exitwise.com, upon payment of an applicable Fee.
6.2 The Fee is a one-time fee paid prior to receiving the Report. It is possible to purchase multiple reports.
7. Platform Services
7.1 Use of Platform Services is subject to these Terms, and the payment of the applicable Fee, Exitwise grants Registered User the right to access and use the Platform Services in accordance with Registered User’s Scope of Use and only during the Subscription Term.
7.2 Exitwise reserves the right to modify the Platform Services or any part or element thereof from time to time without prior notice. Exitwise shall not be liable to the Registered User or to any third person for any modification, suspension or discontinuance of any element of the Platform Services.
7.3 The initial Subscription Term for each Subscription is either monthly or annual and, unless the Subscription Term is terminated in accordance with Section 10, each Subscription will automatically renew for successive renewal Subscription Terms. Annual Subscriptions will automatically renew for successive years and monthly Subscriptions will automatically renew for successive months.
8. Fees and Payment
8.1 Registered User will pay all Fees specified for the selected Subscription and any Add On Features. Fees may be specified on exitwise.com, during the sign-up process, or in other notices from Exitwise. Fees are due in advance upon the start of a Subscription Term and each Renewal Date. All Fees are non-refundable. For purposes of clarity, there are no refunds or credits for periods where the Registered User did not use an activated Account, used it only partially, deactivated the Account or terminated these Terms during a Subscription Term, or where an Account is terminated or suspended by Exitwise in accordance with these Terms. All Fees are exclusive of all taxes, levies or duties applicable under any applicable law, unless stated otherwise stated herein. Registered User is solely responsible for the payment of such taxes, levies or duties. Exitwise reserves the right to modify the Fees for any Subscription or Add On Feature upon at least one month’s prior notice to Registered User, provided that any such modification will not take effect until the next Renewal Date for existing Subscription Terms.
8.2 Registered User authorizes Exitwise to automatically charge Registered User the applicable Fees on or after the start of the Subscription Term and each Renewal Date. If a Registered User wishes to reduce the number of Users, change Subscriptions, or cancel a Subscription, it must do so prior to the Renewal Date. Registered Users may cancel their Subscription anytime as outlined below, which cancellation will be effective as of the end of the then-current Subscription Term. For the avoidance of doubt, under no circumstances will a cancellation result in a refund of Fees paid.
8.3 Exitwise and its Affiliates may seek pre-authorization of Registered User’s payment card account prior to its purchase of Exitwise Services in order to verify that the payment card is valid and has the necessary funds or credit available to cover any purchase. Registered User agrees to approve such card pre-authorization and authorizes Exitwise to charge all Fees to such card account. Registered User agrees to provide Exitwise updated information regarding its payment card account upon Exitwise’s request and any time the information earlier provided is no longer valid.
8.4 Exitwise uses Stripe to process payments. More information on how Stripe processes personal data and data protection rights is available at https://stripe.com/privacy.
8.5 If for any reason a payment is unsuccessful, Exitwise retains the right to terminate your subscription, taking into consideration all facts and circumstances. If your subscription is terminated by Exitwise due to an unsuccessful subscription payment, the termination will be communicated to you per email.
9. Intellectual Property and User Conduct
9.1 Except as expressly provided herein, access to the Services does not grant you any database rights or rights in the copyright, trademarks or any other intellectual property rights of Exitwise or any third party.
9.2 The Services and everything on exitwise.com, including the downloadable Valuation Reports, are protected by copyright and other intellectual property rights. You are not permitted to adapt, alter, modify, reverse engineer, de-compile or otherwise interfere with any element of the Service without Exitwise’s written permission. Exitwise may take steps to assist identification of its Service.
9.3 Exitwise holds various mark registrations which shall not be used without the prior written authorization of Exitwise.
10. Termination and Modification of Services
10.1 The Terms shall enter into force on the date when you visit exitwise.com or become a Registered User and shall remain in force for an indefinite period of time.
10.2 You may be contacted by Exitwise during this Agreement period regarding new developments and products.
10.3 From time to time Exitwise may make alterations to Exitwise.com and to the Exitwise Platform and in doing so will take reasonable steps to inform you of these changes with as much advance warning as possible.
10.4 You shall fully indemnify Exitwise against all third parties costs incurred in the pursuit of payment.
10.5 If Exitwise believes you have breached any provision of this Agreement or in the event of your insolvency or bankruptcy, Exitwise may, with an immediate effect and without a notice, suspend your access to the Services and terminate this Agreement.
10.6 Exitwise has the right to dissolve this Agreement in writing with an immediate effect and without a notice of default and/or to suspend Exitwise’s obligations and/or to exclude you permanently from the Services and/or to remove the content you have published on Exitwise.com or deny you access to same without prior notice if:
10.6.1 You fail to meet the obligations pursuant to the Agreement and/or the Terms or if you fail to do so in full or on time;
10.6.2 After conclusion of the Agreement Exitwise becomes aware of circumstances that give it good reason to fear that you will not perform your contractual obligations;
10.6.3 Circumstances of such nature occur that would make it impossible for Exitwise to perform the Agreement;
10.6.4 You have been granted or requested suspension of payments.
10.7 Upon request, You must use best efforts to delete all and any part of the Services held by You in any format and You may not make any further use of the Services.
10.8 Upon termination clauses 3, 4, 5, 9, 11 shall continue with full force and effect.
11. Indemnity
11.1 You agree to indemnify, defend and hold Exitwise, its parents, subsidiaries, affiliates, officers and employees harmless from any loss, cost, damage, claim or demand, including reasonable legal fees, made by any third party, incurred or suffered by Exitwise or its parents, subsidiaries, affiliates, officers or employees in connection with your use of the Services that breaches this Agreement.
12. Miscellaneous
12.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall remain in force.
12.2 The terms of this Agreement, the provision of the Service and the relationship between you and Exitwise shall be governed by the laws of the United States. You agree irrevocably to submit to the exclusive jurisdiction of the courts of the United States.
12.3 The failure of Exitwise to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such a right.
